General terms of sale

Article 1 - INTRODUCTION The general conditions written below are said to be known and understood by the customer and are accepted unreservedly. No particular condition can prevail over the general conditions, except by formal and written acceptance by ALTUMIS. Should ALTUMIS not invoke any of any of these general conditions of sale at a given moment, this may not be considered as a waiver of the right to avail itself subsequently of any of said conditions.

Article 2 ‑ ORDER TAKING: Orders are not considered final until they have been confirmed in writing. ALTUMIS is only bound by orders placed by its employees upon the submission of a written and signed confirmation from the buyer.

Article 3 ‑ DELIVERY TIMESCALES: The delivery times listed on commercial proposals are given for information only. Delivery delays cannot give rise to any claim for compensation or full or partial cancellation of orders already in progress. ALTUMIS reserves the right to divest itself of its obligation to deliver items in the following cases of force majeure: strikes, accidents, stock unavailability. In all cases, delivery within the agreed time scales can only take place if the buyer is up to date with his obligations to ALTUMIS, whatever the cause.

Article 4 ‑ DELIVERY: Delivery is made either by direct delivery of the product to the purchaser, or by simple notice of readiness, or by delivery to a shipper or carrier on the ALTUMIS premises. They are sent at the recipient’s risk and in the event of missing or damaged items, it is the recipient’s responsibility to notify the carrier on the day of delivery. Reserves can be reported (by registered letter with acknowledgement of receipt) to the carrier within the time limits required by the latter.

Article 5 ‑ RECEIPT: Complaints regarding non-conformity and apparent defects in the delivered product must be made by registered letter (with acknowledgement of receipt) within eight days of the receipt of goods. The buyer must provide proof of the defects or anomalies observed. Buyers must give ALTUMIS every facility to witness these defects and find a solution.

Article 6 ‑ RETURN OF GOODS: No merchandise may be returned without prior written consent from ALTUMIS. The return of products, which will have been approved by ALTUMIS, will be the responsibility of the purchaser. All items must be in perfect condition and with all the accompanying accessories. Any product return made without this agreement will be made known to the purchaser and will not give rise to any credit note. The costs and risks of products return remain the responsibility of the purchaser.

Article 7 ‑ GUARANTEE: Products are guaranteed against any material or manufacturing defect for 1 year from the date of delivery. The presentation of the invoice will be required for any such claim, Defects and deterioration caused by natural wear and tear, or by a modification of the product not foreseen or specified by the manufacturer, are not covered by the guarantee.

Article 8 ‑ PAYMENT CONDITIONS: The products and services are provided at the price in effect at the time of quote acceptance. Prices stated are exclusive of tax (including packaging), except for specific packaging invoiced in addition. All duties, taxes and duties or other services to be paid, in application of French or import regulations, remain the responsibility of the purchaser. Payment should be made upon delivery of the goods at the latest, unless otherwise stated. All payments are processed at the ALTUMIS head office, and can be made by bank transfer, cheque, or draft. Payment conditions will be made clear for each order. In the event of early payment, no discount can be claimed. In the event of late payment ALTUMIS may suspend all pending orders without possible recourse from the buyer.

Article 9 ‑ CHARGEABILITY: Failure to pay a single bill or invoice on its due date, without prior notice,  immediately and automatically becomes an enforceable claim for ALTUMIS.

Article 10 ‑ PROPERTY RESERVE: The company retains ownership of all goods delivered until full payment of the price and all sums relating thereto.
